Soroban App School and Organization Account Discount: Terms of Use

This is an English reference translation. Only the Japanese version is legally binding. If the two versions differ, the Japanese version prevails.

These Terms set out the conditions for using the "Soroban App School and Organization Account Discount" (the "Service") provided by SIC Co., Ltd. ("we", "us" or "our").

Article 1 (The Service)

  1. The Service provides paid accounts for the Soroban app at a discounted price to soroban schools, tutoring schools and other educational businesses and organizations.
  2. Accounts issued under the Service have the same features as the regular plan of ¥980 per account per month (including tax).
  3. The Service can be ordered from a single account.
  4. The Subscriber may use the accounts for teachers and may also issue accounts for students to use in lessons and for preparation and review at home.
  5. A Subscriber who wishes to have original instructional videos for its school may use a video service delivered through school-specific IDs, under conditions separately set by us.

Article 2 (Accounts)

  1. The Subscriber signs in to the management site we provide, "Soroban Portal" (the "Portal"), with a Google Account or an email address, and manages accounts there, including issuing, disabling and re-enabling accounts and changing passwords.
  2. In principle, each account may be used only by the user to whom it is assigned. Transferring, lending or improperly sharing an account with a third party is prohibited.
  3. The Subscriber is responsible for managing the Google Account or email address used to sign in to the Portal (including the mailbox that receives email sent to that address), and the IDs and passwords of the accounts it issues.
  4. If we find unauthorized use or any other use that violates these Terms, we may disable the account or take other necessary measures.

Article 3 (Fees)

  1. Fees for the Service are calculated based on the number of issued accounts that have not been disabled ("active accounts").
  2. For the 1st to the 30th account, the fee is ¥500 per account per month (including tax).
  3. For the 31st account onward, the fee is ¥250 per account per month (including tax).
  4. The fee in the preceding paragraph applies only to the 31st and later accounts. It does not apply to all accounts when the number of active accounts reaches 31 or more.
  5. Japanese Consumption Tax is not charged to Subscribers located outside Japan. In that case, the fees are still the amounts set out in the preceding paragraphs.
  6. Costs for filming, editing and producing original instructional videos are quoted individually according to the request.

Article 4 (Payment)

  1. Fees are paid through the online payment service we designate (Stripe).
  2. When issuing the first accounts, the Subscriber registers a payment method in the Portal and pays the first fee for the number of accounts to be issued. We issue the accounts after confirming the payment.
  3. The renewal date of the monthly fee is based on the date of the first payment.
  4. The Service renews automatically unless the Subscriber cancels it. On each renewal date, the monthly fee based on the number of active accounts at that time is charged automatically.
  5. Invoices and receipts are sent by email from Stripe and can also be viewed on the billing and cancellation page of the Portal.
  6. If the Subscriber uses original instructional videos, we provide them to the relevant accounts after production is completed, in line with the start of use.
  7. If payment of a fee cannot be confirmed because of a payment error or for any other reason, we will ask the Subscriber to pay. If payment cannot be confirmed within 7 days after the payment error, we will suspend the use of all accounts. If payment is confirmed after the suspension, we will promptly resume use.
  8. If, after suspension under the preceding paragraph, payment cannot be confirmed by the day before the next renewal date, the Service will be deemed canceled as of the next renewal date. Even in that case, the obligation to pay the unpaid fees does not end.

Article 5 (Changing the Number of Accounts)

  1. The Subscriber may issue, disable or re-enable accounts in the Portal at any time. Accounts that are issued or re-enabled can be used immediately.
  2. If the number of active accounts increases during a billing period, the fee for the added accounts is prorated by the number of days from the start of use to the day before the next renewal date, and is charged together with the monthly fee on the next renewal date. No separate payment is needed when adding accounts.
  3. Disabling accounts during a billing period does not reduce the fee for that billing period. From the next renewal date onward, the monthly fee is charged based on the number of active accounts on the renewal date.
  4. No additional fee is charged when an account disabled within the same billing period is re-enabled, or otherwise as long as the number of accounts stays within the number already paid for in that billing period.
  5. If all accounts are disabled, the monthly fee from the next renewal date onward is ¥0 and the subscription to the Service continues. To cancel, follow Article 8.
  6. Fees already paid for a billing period are not refunded according to the remaining days of use, except where a refund is required by law.

Article 6 (Original Instructional Videos)

  1. Original instructional videos are available to schools and organizations that subscribe to the Service.
  2. The filming method, editing, number of videos, delivery date, costs and other details are decided through individual discussion.
  3. If the Subscriber requests support for filming and editing, the Subscriber may be asked to bear travel and other necessary actual expenses.
  4. We may deliver a school's instructional videos to users who use that school's school-specific ID.
  5. Changes to or cancellation of a filming schedule after it has been fixed will be handled as agreed through discussion between both parties.

Article 7 (Copyright and Other Rights)

  1. Videos, images and other content provided by the Subscriber must be content for which the Subscriber holds the copyright and other necessary rights, or has obtained a lawful license.
  2. The Subscriber grants us permission to use such content to the extent necessary to provide the Service.
  3. When the subscription ends, delivery of the school's videos will, in principle, stop.

Article 8 (Cancellation)

  1. The Subscriber may request cancellation on the billing and cancellation page of the Portal. The cancellation takes effect on the first renewal date after the request.
  2. After requesting cancellation, the Subscriber may use the Service until the day before the renewal date on which the cancellation takes effect. Until that day, the Subscriber may also withdraw the cancellation request in the Portal.
  3. No monthly fee is charged from the effective date of cancellation. From that date, none of the issued accounts can be used.
  4. To use the Service again after cancellation, the Subscriber pays again in the Portal. The first fee in that case is calculated based on the number of active accounts at that time (or, if there are no active accounts, the number of accounts to be newly issued).
  5. Fees already paid for a billing period are not refunded according to the remaining days of use, except where a refund is required by law.

Article 9 (Changes to and Suspension of the Service)

  1. We may change the content of the Service to improve it, add features, change specifications or as otherwise necessary.
  2. We may temporarily suspend all or part of the Service for maintenance, to handle failures, for system reasons or for other unavoidable reasons.

Article 10 (Disclaimer)

  1. We are not liable if the Service cannot be used normally because of the network environment, the device environment or any other reason not attributable to us.
  2. The Subscriber is responsible for resolving any dispute with a third party concerning the content of, or rights to, videos and other content provided by the Subscriber.
  3. We do not guarantee any particular learning outcome, improvement in grades or other particular result from the Service.

Article 11 (Changes to These Terms and Fees)

  1. We may change these Terms as necessary in accordance with laws and regulations.
  2. If there is a material change to these Terms, the fees or other contract terms, we will notify the Subscriber or make it public by a method we specify.
  3. The date on which the changed Terms take effect will be set out in the notice or announcement.

Article 12 (Refunds)

As a rule, fees already paid are not refunded, except where required by law or where there is a reason attributable to us.

Supplementary Provisions

  1. These Terms take effect on November 1, 2026.
